Terms of Service
Effective Date: January 31, 2026
This Agreement is a legal contract between you (the "User") and Ludonix YBX Holdings Inc. ("Company")
regarding your use of the Arcflow Protocol, Agent, and Companion software (collectively, the "Software").
1. Definition of Service
Arcflow Protocol is an external, secondary application designed to provide supplemental
information and contextual guidance. It functions as a "companion" utility, similar in nature to peripheral
software. It does not modify game files, inject malicious code, or alter the core functionality of third-party
software.
Arcflow Protocol (the "Software") is a standalone, external, and secondary application developed
independently by Ludonix YBX Holdings Inc. The Software is designed to operate as a "Companion Utility" or "System Overlay,"
providing supplemental information, contextual guidance, and user-interface enhancements that exist outside of
the proprietary code of any third-party game.
A. External Architecture: The Software functions as a separate process in the
User’s operating system. It does not exist within the file directory of third-party games, nor does it replace,
overwrite, or permanently (or temporarily) modify any executable files (.exe), dynamic link libraries (.dll), or
asset files (.pak, .rpf, etc.) belonging to third-party developers or publishers.
B. Non-Invasive Operation: Unlike "mods" or "cheats," Arcflow Protocol does not
utilize code injection, "hooking" of game-engine functions for the purpose of altering game logic, or the
bypassing of digital rights management (DRM). The Software utilizes passive data observation (no interaction)
and external visual overlays to provide its service, maintaining a strict "Arm’s Length" relationship with the
third-party software it supports.
C. Informational Nature: The service provided is strictly for informational and
navigational assistance. It is intended to function as a digital manual or interactive guide. It does not
provide the User with a competitive advantage in a multiplayer environment, nor does it unlock content that the
User has not otherwise legally acquired or reached through standard gameplay.
D. Scope of Use: Arcflow Protocol is a utility for the User, not a modification
of the Game. It is categorized as a "Peripheral Enhancement Tool," similar in legal standing to
hardware-management software, voice-communication overlays, or system-performance monitors. Any observation
(read-only) of a third-party application is conducted solely for the purpose of location-aware context,
constitutes fair dealing for the purpose of interoperability, and does not constitute a "work based upon" the
underlying game under copyright law.
E. Scope of Compatibility and Validated Library: The Software is a
high-fidelity optimization agent. The "Service" provided under this Agreement is defined as access to the Arcflow
Platform and its current "Validated Library" of supported third-party titles.
Optimization Disclosure: The User acknowledges that the Software is currently optimized for a
specific, limited selection of titles (the "Validated Titles") as listed on the Company's official website and
FAQ.
Compatibility Disclaimer: Use of the Software with any game title not explicitly listed in the
Validated Library at the time of purchase is not supported, and the lack of compatibility with unlisted titles
does not constitute a "Product Not as Described" failure or a breach of this Agreement.
Platform Access: The User's subscription fee is for access to the Arcflow technology and its
existing library, not for a guarantee of universal compatibility with all third-party software.
2. Non-Affiliation AND TRADEMARK DISCLOSURE
Ludonix YBX Holdings Inc. (the "Company") is a fully independent entity. The Company, including its employees,
owners, and the Arcflow Protocol software, is not affiliated, associated, authorized, endorsed by, or in any way
officially connected with the developers, publishers, or parent companies of any third-party games supported by
the Software.
A. Nominative Fair Use: Any use of third-party game titles, character names,
marks, emblems, or images within the Software, website, or marketing materials is done strictly for nominative
purposes. This usage is intended solely to identify the specific third-party software with which the Arcflow
Protocol is compatible. Such use does not imply any sponsorship, partnership, or endorsement by the trademark
owners.
B. Ownership of Intellectual Property: All third-party game names, logos, and
brands are the registered trademarks of their respective owners. Ludonix YBX Holdings Inc. makes no claim of ownership over
these assets. The "Arcflow Protocol" and "Arcflow Agent" names and logos are the exclusive property of Ludonix
YBX.
C. Independence of Services: The AI-generated guidance and supplemental
information provided by the Software are the original creative output of Ludonix YBX Holdings Inc.'s proprietary systems. This
content is not sourced from official game manuals, private company databases, or proprietary internal documents
of the game developers. It is an independent "External Guide" service.
D. Clear Distinction: The Software’s user interface is designed to maintain a
clear visual distinction between the Arcflow Agent and the underlying third-party game. The Company takes
proactive measures to ensure that no part of the Software’s branding or operation would lead a reasonable
consumer to believe the Software is a "First-Party" or "Official" component of the game being played.
3. ASSUMPTION OF RISK, LIMITATION OF LIABILITY, AND INDEMNITY
A. Single-Player/Offline Use Only: The Software is strictly and exclusively
intended for use in single-player, offline environments. Use of the Software in online, competitive, or
multiplayer modes (including "Live" service modes within primarily single-player games) is strictly prohibited.
Such use constitutes a material breach of this Agreement. The User acknowledges that multiplayer environments
utilize aggressive "Anti-Cheat" and "Heuristic Detection" software that may misidentify any external process as
a malicious tool.
B. Voluntary Assumption of Risk: The User acknowledges that the use of any
software that performs read-only observation of volatile system memory carries inherent risks. These risks
include, but are not limited to: account suspension, permanent bans, loss of digital assets, loss of access to
game licenses, and system instability. The User expressly agrees that they are using the Software at their own
sole risk and discretion.
C. No Liability for Third-Party Actions: Ludonix YBX Holdings Inc., its directors, employees,
and affiliates shall NOT be held legally or financially liable for any punitive actions taken by third-party
game developers, publishers, or platform holders. In the event of an account ban or "flagging" by an anti-cheat
system, Ludonix YBX Holdings Inc. is under no obligation to provide a refund, legal defense, or financial compensation for the
value of the lost account, its contents, or associated time spent.
D. Limitation of Damages: To the maximum extent permitted by applicable law, in
no event shall Ludonix YBX Holdings Inc. be liable for any indirect, incidental, special, or consequential damages whatsoever
(including, without limitation, damages for loss of gaming progress, loss of virtual currency, or loss of access
to third-party services) arising out of the use of or inability to use the Software. In any case, the Company’s
entire liability under any provision of this Agreement shall be limited to the amount actually paid by the User
for the Software license during the six (6) months preceding the event.
E. Indemnification: The User agrees to indemnify, defend, and hold harmless
Ludonix YBX Holdings Inc. from and against any and all claims, lawsuits, damages, costs, and expenses (including reasonable
legal fees) arising from the User’s violation of these Terms or the User’s use of the Software in any prohibited
multiplayer or online environment.
4. PROPRIETARY RIGHTS, RESTRICTIONS, AND INTELLECTUAL PROPERTY
A. Ownership and Title: The Software, including its executable files, scripts,
logic flow, interface designs, and all underlying source code, is the sole and exclusive property of Ludonix
YBX. All rights, titles, and interests not expressly granted to the User in this Agreement are reserved by the
Company. This Agreement is a license for use, not a sale of the Software. No ownership of intellectual property
is transferred to the User at any time.
B. Strict Prohibitions on Reverse Engineering: The User shall NOT, and shall
not permit any third party to:
- Decompile or Disassemble: Attempt to translate the Software from object code to source
code or otherwise deconstruct the binary into a human-readable format.
- Reverse Engineer: Analyze the Software’s internal workings, or proprietary "Arcflow"
logic for the purpose of recreating its functionality or discovering its "Trade Secrets."
- Bypass Security: Attempt to circumvent or disable any Technological Protection Measures
(TPMs), license verification systems, or anti-tamper mechanisms embedded within the Software.
C. No Derivative Works or Modifications: The User is strictly prohibited from
modifying, altering, or creating derivative works based on the Software. This includes, but is not limited to,
modifying any scripts, altering the configuration files, or "hooking" the Software’s own processes to change its
behavior. Any such alteration immediately voids the User license and constitutes a material breach of contract.
D. Distribution and Commercial Use: This license is for personal,
non-commercial use only. The User shall NOT:
- Sell, lease, rent, or sublicense the Software to any third party.
- Host the Software on a server or "Cloud" environment for use by multiple users.
- Distribute modified or "cracked" versions of the Software in any public or private forum.
E. Enforcement and Legal Remedies: Ludonix YBX Holdings Inc. takes the protection of its
intellectual property with the utmost seriousness. Any violation of this Section will result in:
- Immediate Termination: Permanent revocation of access to the Arcflow Protocol without a
refund.
- Service Ban: A permanent hardware-level ban from all current and future Ludonix YBX Holdings Inc.
services.
- Legal Action: The Company reserves the right to seek injunctive relief and statutory
damages for copyright infringement, trade secret misappropriation, and breach of contract under the laws
of British Columbia and the Copyright Act of Canada.
F. Hardware Identification and Anti-Abuse Protocols: To maintain the integrity
of the Software and prevent the unauthorized exploitation of free trials ("Trial Hopping"), the Software
utilizes hardware-level identification.
- Unique Identifier: Upon login, the Software extracts a unique, non-reversible hardware
fingerprint (the "HWID") from your device’s components (e.g., motherboard, CPU).
- Trial Limitation: The User acknowledges that free trials are strictly limited to one
(1) per unique physical machine.
- Enforcement: If the Company’s systems detect multiple accounts attempting to utilize
free trials on a single HWID, the Company reserves the right to immediately terminate trial access,
downgrade the associated accounts to "Free" status, or issue a permanent hardware-level ban.
- Hardware-Level Bans: In cases of a material breach of this Agreement (including reverse
engineering or security bypassing), Ludonix YBX Holdings Inc. may permanently block a specific HWID from accessing any
current or future services.
5. Billing, Service Modifications, and Cancellation
A. "As-Is" Service: Arcflow Protocol is a living product that is subject to
constant updates and refinements. Ludonix YBX Holdings Inc. reserves the right to modify, add, or remove features and
supported game titles at any time to ensure system stability or compliance with third-party software changes.
B. Pricing Adjustments: Subscription fees and one-time purchase prices are
subject to change at the Company’s discretion. Existing subscribers will be notified of any price increases at
least thirty (30) days in advance.
C. Cancellation Policy: Users may cancel their subscription at any time through
the User Dashboard. Access to the Software will continue until the end of the current billing cycle. No partial
refunds will be issued for "unused" portions of a month.
D. Entire Agreement: This document constitutes the entire agreement between the
User and Ludonix YBX Holdings Inc. If any part of this contract is found to be unenforceable by a court of law, the remaining
sections shall remain in full force and effect.
E. Payment Method Integrity and Fingerprinting: To ensure the sustainability of
our indie project and enforce our fair-use policies, we utilize advanced fraud detection via our third-party
payment processor.
- One Trial Per Payment Method: Free trials are strictly limited to one (1) per unique
payment method.
- Card Fingerprinting: Our systems utilize "Card Fingerprinting" technology to identify
unique credit/debit cards across multiple accounts.
- Abuse Enforcement: If a User attempts to circumvent trial limits by creating multiple
accounts using the same payment method, Ludonix YBX Holdings Inc. reserves the right to automatically decline the
trial, charge the full subscription amount immediately, or terminate access to the Protocol without a
refund.
6. NO GUARANTEE OF RESULTS AND ACCURACY OF AI GUIDANCE
A. Nature of Artificial Intelligence: The User acknowledges that the guidance,
directions, and informational responses provided by the Arcflow Agent are generated by Artificial Intelligence
(AI) and machine learning models. By their nature, these technologies are probabilistic and may occasionally
generate "hallucinations" or responses that are factually incorrect, incomplete, or unsuitable for the specific
in-game context.
B. No Warranty of Accuracy: Ludonix YBX Holdings Inc. does not warrant, represent, or
guarantee the accuracy, safety, or reliability of any advice provided by the Software. This includes, but is not
limited to:
- Navigational Guidance: Directions that may lead a player to in-game hazards, "death,"
or failure.
- Puzzle Solutions: Advice that may be outdated due to game patches or incorrect
interpretation of visual data.
- Game Logic: Strategies that may result in the loss of in-game items, progress, or
character status.
C. User Responsibility: The Software is a supplemental, experimental tool for
entertainment purposes only. The User remains solely responsible for all in-game actions and decisions. Ludonix
YBX Holdings Inc. shall not be held liable for any frustration, loss of in-game progress, or "deaths" resulting from reliance
on the Software's output. Use the Agent's advice at your own risk.
7. THIRD-PARTY AI AND SERVICE DEPENDENCY DISCLAIMER
A. Dependency on External Infrastructure: The Software utilizes third-party
Application Programming Interfaces (APIs) and cloud infrastructure. The availability and performance of the
Arcflow Protocol are directly dependent on these third-party services.
B. Disclaimer of Service Continuity: Ludonix YBX Holdings Inc. shall not be held liable for
any service interruptions, latencies, "downtime," or errors caused by the failure, maintenance, or modification
of these third-party providers. If the third-party AI service is unavailable, "acts weird," or provides degraded
performance, the Company is under no obligation to provide a refund or alternative service.
C. Changes to Third-Party Terms: The User acknowledges that third-party
providers may change their terms of service, safety filters, or API availability at any time. Ludonix YBX Holdings Inc.
reserves the right to modify or suspend the Software’s functionality to remain in compliance with these
third-party requirements without prior notice to the User.
8. GOVERNING LAW AND ADDITIONAL DISCLAIMERS
Jurisdiction: This Agreement shall be governed by and construed in accordance
with the laws of the Province of British Columbia and the federal laws of Canada applicable therein. Any legal
action or proceeding arising under this Agreement will be brought exclusively in the courts located in
Vancouver, British Columbia, and the parties hereby irrevocably consent to the personal jurisdiction and venue
therein.
9. ALPHA PHASE DISCLOSURE AND EXPERIMENTAL NATURE
A. Acknowledgement of Pre-Release Status: The User acknowledges that the
Software is currently in its "Alpha" or "Early Access" development phase. The Software is not a final, stable
commercial product and may contain significant bugs, errors, and missing features. Use of the Software is
strictly for evaluation and experimental purposes.
B. Experimental Technology: The Software’s core logic and AI-integration are
experimental. Ludonix YBX Holdings Inc. makes no guarantee that the Software will function as intended with any specific game
title, operating system, or hardware configuration. Features may be added, removed, or completely overhauled at
any time without prior notice to the User.
C. Disclaimer of Warranties: During this Alpha phase, the Software is provided
on an "AS IS" and "AS AVAILABLE" basis. To the fullest extent permitted by law, Ludonix YBX Holdings Inc. disclaims all
warranties, express or implied, including any warranties of merchantability or fitness for a particular purpose.
